These Terms of Service ("Terms") govern your access to and use of the Partnersify website and platform. By creating an account, you agree to these Terms.

1. Platform Role

Partnersify provides software that allows businesses ("Merchants") to create and manage their own affiliate programs, and allows individuals ("Affiliates") to track their referrals.

We are not a party to the relationship between Merchants and Affiliates. We provide the tracking infrastructure, but we do not mediate disputes, hold funds in escrow, or guarantee payouts.

2. Merchant Responsibilities

If you use Partnersify to run an affiliate program, you are solely responsible for managing your Affiliates. This includes:

• Accurately describing your commission structure and terms.
• Approving or rejecting Affiliates in a timely manner.
• Paying your Affiliates the commissions they have earned.
• Complying with all applicable tax laws, advertising guidelines, and privacy regulations.

Partnersify is not liable if you fail to pay your Affiliates. If an Affiliate brings a legal claim against us because of your failure to pay or comply with your own terms, you agree to cover our legal costs and damages.

3. Affiliate Responsibilities

If you use Partnersify as an Affiliate to promote a Merchant, you agree to follow the Merchant's specific program rules. You must not engage in fraud, spam, self-referrals, or deceptive marketing practices.

You acknowledge that the Merchant, not Partnersify, is responsible for paying your commissions. We calculate the ledger based on tracking data, but we cannot force a Merchant to release funds.

4. Subscriptions and Fees

Merchants must pay the subscription fees associated with their chosen Partnersify plan. All fees are billed in advance and are non-refundable.

We reserve the right to change our pricing. If we increase our prices, we will provide you with reasonable advance notice before the new rates apply to your account.

5. Acceptable Use

You may not use Partnersify for any illegal or unauthorized purpose. You must not:

• Hack, exploit, or attempt to disrupt the platform's infrastructure.
• Create fake accounts to artificially inflate commission metrics.
• Use the platform to distribute malware or malicious code.
• Reverse engineer or copy our core software.

6. Account Termination

We reserve the right to suspend or terminate any account at any time if we believe you have violated these Terms. Merchants may cancel their subscription at any time through the billing portal.

Upon termination of a Merchant account, the associated affiliate portals will be taken offline. We are not responsible for any lost revenue or data resulting from account termination.

7. Limitation of Liability

Partnersify is provided on an "as is" and "as available" basis. We do not guarantee that the platform will be error-free or strictly uninterrupted.

To the maximum extent permitted by law, Partnersify will not be liable for any indirect, incidental, or consequential damages. This includes lost profits, lost data, or lost commissions arising from tracking failures, browser blockers, or platform downtime.

8. Governing Law

These Terms shall be governed by the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the appropriate courts located in Nevada.
